Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by AquaLabs ("we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Services

AquaLabs provides website development, mobile application development, and digital marketing services to businesses and individuals. The specific details, deliverables, timelines, and costs of services will be outlined in a separate agreement or statement of work provided to the client.

Client Responsibilities

As a client, you agree to:

• Provide all necessary content, materials, and information required for the project in a timely manner
• Review and provide feedback on work within the timeframes specified in the project timeline
• Make payments according to the agreed-upon payment schedule
• Obtain all necessary permissions and rights for any content, materials, or intellectual property you provide to us
• Comply with all applicable laws and regulations

Intellectual Property Rights

Upon receipt of full payment for our services, we transfer to you all rights to the final deliverables specified in our agreement, except for:

• Third-party materials (such as stock photos, plugins, themes) which are subject to their own license terms
• Our pre-existing intellectual property, including our methodologies, tools, frameworks, and processes
• Open-source components, which remain subject to their original licenses

We reserve the right to display and link to your completed project as part of our portfolio and to write about the project for promotional purposes, unless otherwise agreed in writing.

Payment Terms

Unless otherwise specified in a separate agreement:

• A non-refundable deposit of 50% of the total project cost is required before work begins
• The remaining balance is due upon completion of the project before the final deliverables are transferred
• Additional services or revisions beyond the scope of the original agreement will be billed separately
• Late payments are subject to a 2% monthly interest charge

Project Timelines

Project timelines are estimates and may be affected by various factors, including:

• Delays in receiving content, materials, or feedback from clients
• Changes to the project scope or requirements
• Technical issues or complications discovered during development
• Force majeure events

We will make reasonable efforts to meet agreed-upon deadlines and will communicate any potential delays promptly.

Termination

Either party may terminate the service agreement:

• By mutual written agreement
• If the other party breaches a material term of the agreement
• If the client fails to pay invoices when due

Upon termination, the client is responsible for payment of all services performed up to the termination date. If the client terminates the project after work has begun, the initial deposit is non-refundable.

Limitation of Liability

To the maximum extent permitted by law, AquaLabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from the use of our services. Our total liability for any claims under these Terms shall not exceed the amount paid by the client for the services giving rise to the claim.

Warranty and Disclaimer

We warrant that our services will be performed in a professional manner consistent with industry standards. We will correct any deficiencies in our services reported within 30 days of project completion at no additional cost. EXCEPT AS EXPRESSLY STATED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND.

Indemnification

You agree to indemnify, defend, and hold harmless AquaLabs from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from or related to your use of our services or your violation of these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be resolved in the courts located in Bhopal, Madhya Pradesh.

Changes to These Terms

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on our website. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.
